Intellectual Property

Our Work
Upon full payment, you receive ownership of the custom work product created specifically for your project. We retain the right to use general techniques, knowledge, and non-proprietary components developed during the engagement.
Third-Party Components
Our deliverables may include third-party libraries, frameworks, or tools subject to their respective licenses. We will inform you of any significant third-party dependencies.
Payment Terms
- Project fees and payment schedules are specified in individual proposals or contracts
- A deposit may be required before work commences
- Invoices are due within the timeframe specified (typically 14-30 days)
- Late payments may result in project suspension or additional fees
- All fees are non-refundable unless otherwise agreed in writing
Project Timeline & Delivery
We commit to delivering projects within agreed-upon timelines. However, timelines may be affected by:
- Delays in receiving client feedback or materials
- Scope changes or additional requirements
- Technical challenges requiring additional research
- Third-party dependencies outside our control
Revisions & Changes
Our proposals include a specified number of revision rounds. Additional revisions or scope changes beyond the original agreement may incur additional fees. All change requests should be submitted in writing for proper documentation and pricing.
Warranties & Disclaimers
What We Warrant
We warrant that our services will be performed in a professional manner consistent with industry standards. We will correct any defects in our work identified within 30 days of delivery at no additional cost.
Disclaimers
Except as expressly stated, our services are provided "as is." We do not guarantee specific business outcomes, search rankings, or revenue increases. We are not liable for any third-party services, hosting providers, or platform changes that may affect your project.
Limitation of Liability
To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the total fees paid for the specific project in question. We are not liable for indirect, incidental, consequential, or punitive damages.
Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, technical specifications, and any information marked as confidential. This obligation survives the termination of our engagement.
Termination
Either party may terminate the engagement with written notice:
- Upon material breach by the other party that remains uncured after 14 days' notice
- By mutual written agreement
- For convenience, with appropriate notice and settlement of outstanding obligations
Dispute Resolution
Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation. If resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with applicable laws.
Modifications to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.
